Brian and Jamie - Shareholder Agreement Case Study 1

Brian and Jamie ran a successful business together. They didn't have a shareholders agreement as they couldn't foresee a situation where they would not be able to resolve any differences that they may have.

Case Study

Brian was 63 and Jamie was 42. Together they ran a successful software development business producing software for a niche sector. Both had distinct roles in the business. Brian was a software developer and Jamie had significant contacts in the industry and therefore drove sales.

Brian and Jamie were equal shareholders and sole directors. They had run the business together for 15 years and it had become relatively successful, generating profits for the two shareholders in the region of £500,000.

One day Jamie died suddenly in a car crash. He had a wife and three children under the age of 10. His wife and Brian had fallen out a number of years previously and did not talk to each other.

A few weeks after Jamie’s funeral, Brian contacted us as Jamie’s widow was demanding money from the business and Brian did not know what to do.

Brian and Jamie had never had a shareholders agreement prepared, they didn’t think that it was needed as they could never foresee a situation where between themselves they could not resolve any differences that they may have.

Brian told us that since Jamie’s death, the pipeline of sales had ended as Jamie was the only person in the business with the contacts and knowledge to push the sales. Brian had found a new salesman, but he had to headhunt a senior person from a competitor, at a considerable cost. The salary was a large additional burden which significantly reduced the profits.

Brian and Jamie had always paid themselves by dividends and neither took a salary.

Brian did not think that it was fair that he was working long hours in the business, but he had to pay himself and Jamie’s widow the same amount.

Brian could not face the thought of having to run the business with Jamie’s widow. He had offered to buy Jamie’s shares, but his widow wanted far more for them than Brian felt that they were worth given that the business had lost one of its major assets.

They had reached a stalemate.

Brian wanted to force Jamie’s widow to sell her shares, but we had to advise him that in the absence of any shareholders agreement, there was no easy way for him to force Jamie’s widow to sell the shares and that the only real option was to negotiate a settlement.

However, if Brian and Jamie had put a shareholder agreement in place, this could have included a provision which set out what would happen in the event of one shareholder dying. It could have provided that the surviving shareholder would have an option to purchase the deceased shareholder’s shares and a provision as to how the price is to be determined. It could also have provided for life insurance to be put in place so that the surviving shareholder could have a lump sum with which they could purchase the deceased shareholder’s shares. The shareholdings could also have been structured so that each shareholder had a different class of share, with provisions in the shareholder agreement allowing for equal dividends to be paid on each class unless one shareholder should die or cease to work full time, in which case the dividends paid on those shares could then reduce.

These practical steps would have meant that Brian and Jamie’s widow would have known what they could and couldn’t do and the scope for dispute would have been narrowed. It would have given Brian an avenue for resolving the issues, which ultimately would have protected the business.

5/5 Star review
Neves recently undertook our conveyancing and did an excellent job; the communication from Charlene Shillingford and her team throughout the whole process was top notch - I don’t recall being kept so up to date during the selling and buying of a house before. Queries were handled quickly and with the minimum of fuss, even when ‘the other side’ were being ‘difficult’. I’ve no reservation in recommending Neves. My heartfelt thanks to Charlene and the conveyancing team for their diligence and care during what can be a fraught time.

Determined is the first word springing to mind when sharing my experience with Neeves Solicitors LLP. Despite the hurdles, despite the delays, Jackie and Charlene continued to press on to produce results, with continuous updates throughout our request no matter how trivial. I am more than happy with the services they were able to provide and would recommend this firm to family and friends.

Beth Woodward, I wanted to say thank you for supporting me on my recent divorce. Faced with one of the most aggressive and unpleasant legal firms in London, you led me through both the family and financial divorce courts and more than achieved every one of my goals for the divorce. Most importantly, I have equal time parenting with my two girls and a really fair settlement so I can support them financially, both not even remotely offered by the other side. You listened and supported me when I really went for it, kept me sane through the FDR and court visits and also gave me the tough messages when I need to hear it. Thank you, I can’t quite explain how we did it, but we did 😊 😊 😊 😊

Emily has supported me through a divorce with excellent advice and guidance at every stage. All issues and options were explained clearly and fully. Possible outcomes were fully outlined to me throughout the process. Emily's professionalism has been of the highest standard. The kind and understanding manner in which Emily has supported me at all stages of the process is something that I am extremely grateful for. I literally felt the pressure shift from my shoulders. This is why I give 5 stars for the assistance I received.

I left this review for a few months as I wanted to let everything settle down and get my own head space back. On behalf of myself and my family, I just wanted to express our heart felt thanks to Beth for navigating us through a difficult divorce and parenting matters. Perhaps a little unconventional because as a dad, my teenage daughter wanted to remain living with me and yet I was also the main earner. We trusted Beth to give us timely, clear and succinct advice, help challenge tactics from the other side and understand the needs of my daughter whilst protecting my independent assets. We are so pleased with the outcome of the issues and all of the initial objectives were met. Beth, the whole of my family (children and grandchildren too) cannot thank you and your team enough. We have our home and family life back, fun and normality have resumed and a lunatic puppy is in place to help us heal and grow. Having trust in professional people is crucial at such a difficult time in life, and feeling that you have a solicitor of such high calibre took some pressure away when it was hard to deal with everything else. There were times that I felt Beth carried me through the process and times where I almost asked you to make decisions for me. It is a messy process, people get hurt and tears flow but thank you for your professionalism and understanding.
